Limited License Agreement

By purchasing, commissioning, downloading, or installing any toile design, wallpaper, pattern, or other artwork created by Carnation & Quill (“Licensed Artwork”), you (“Licensee”) agree to the following terms.

1. Ownership

All Licensed Artwork created by Carnation & Quill is the exclusive proprietary and intellectual property of Carnation & Quill and is protected by United States copyright law and applicable international treaties.

No ownership, copyright, or intellectual property rights in any Carnation & Quill Licensed Artwork are transferred to the Licensee.

2. Limited License Granted

Upon full payment, Carnation & Quill grants the Licensee a limited, non-exclusive, non-transferable, and non-sublicensable license to use the Licensed Artwork solely for:

·         Installation as wallpaper in a single residential or commercial location owned or controlled by the Licensee

·         Utilization of gift wrap and stationary as intended for use

·         Personal decorative display as installed

No other rights in the Licensed Artwork are granted or implied.

3. Prohibited Uses

The Licensee may not, directly or indirectly:

·         Copy, reproduce, scan, trace, digitize, or replicate the Licensed Artwork

·         Resell, sublicense, distribute, share, or transfer the Licensed Artwork

·         Create derivative works based on the Licensed Artwork

·         Use the Licensed Artwork for merchandise, prints, textiles, stationery, packaging, or digital products

·         Upload the Licensed Artwork to print-on-demand platforms, stock libraries, or marketplaces

·         Use the Licensed Artwork for branding, logos, advertising, or promotional materials\

·         Claim authorship or ownership of the Licensed Artwork

Any unauthorized use constitutes copyright infringement.

4. Digital Files

If digital files of Licensed Artwork are provided, they are supplied solely for the licensed use described above.

Possession of a digital file does not grant reproduction, reuse, or distribution rights.

5. Commercial Use

Commercial use of any Carnation & Quill Licensed Artwork is strictly prohibited unless expressly authorized in writing and accompanied by a separate Commercial License Agreement and fee.

6. Reservation of Rights

Carnation & Quill expressly reserves all rights not granted under this agreement, including the right to:

·         Reproduce the Licensed Artwork

·         Sublicense the Licensed Artwork to other clients

·         Display the Licensed Artwork for portfolio, marketing, and promotional purposes

·         Create derivative works or future collections

7. Marketing & Portfolio Use

Carnation & Quill may display any and all Licensed Artwork for portfolio, website, social media, and marketing purposes.  Carnation and Quill reserves the right to resale all Licensed Artwork that is not privately commissioned and paid for by a Licensee.  Client-identifying details will not be disclosed without permission.

8. Enforcement

Unauthorized use of the Licensed Artwork may cause irreparable harm to Carnation and Quill.  Carnation & Quill reserves the right to pursue injunctive relief, statutory damages, actual damages, and attorneys’ fees to the fullest extent permitted by law.

10. Governing Law

This agreement is governed by the laws of the State of Texas, without regard to conflict-of-law principles.

11. Entire Agreement

This License Agreement constitutes the entire understanding regarding use of Carnation & Quill artwork and supersedes all prior communications.  Should any provision of this agreement be deemed unenforceable under legal principles or laws by a court of competent jurisdiction, all other provisions will remain in effect and have the full force of law.

By purchasing or commissioning artwork from Carnation & Quill, you acknowledge that you have read, understood, and agreed to this License Agreement.
